Terms of use

Toolcat Oy’s webshop serves business customers only. These terms and conditions apply to customer relationships between Toolcat Oy and its business customers.

1. General terms

www.toolcat.fi is the customer portal and webshop of Toolcat Oy (Business ID 1059567-7). The webshop and customer portal are intended only for business customers (traders). Consumer customers are served in a separate consumer webshop. These terms and conditions apply to customer relationships between Toolcat Oy and its business customers. For services and products brokered by Toolcat Oy, the terms and conditions defined by the service provider in question also apply. Toolcat Oy has the right to update these terms and conditions without prior notice. Orders are subject to the terms and conditions in force at the time of ordering, which can be read on Toolcat Oy’s website.

Toolcat Oy is not liable for damage caused by force majeure. Force majeure means an unforeseeable circumstance or change in circumstances that is beyond Toolcat Oy’s control. Toolcat Oy is obliged to notify the customer of force majeure without delay.

2. Customer and data protection

Toolcat Oy’s webshop serves business customers (traders) in the EU and Finland. The applicable Finnish and EU legislation on marketing and advertising is followed in the trading relationship. The sales contract between the business customer and Toolcat Oy is governed primarily by these terms and conditions and otherwise by the Finnish Sale of Goods Act (355/1987). The provisions of the Consumer Protection Act (kuluttajansuojalaki) do not apply to sales between business customers.

The customer is obliged to provide their complete contact details when placing an order. The details required from business customers are the contact person’s name, telephone number and email, and the Business ID, postal address, telephone number or numbers and, where necessary, invoicing address and e-invoicing address.

Customer data is stored in the customer register of Toolcat Oy’s webshop, and the data in it is used to maintain the customer relationship. Toolcat Oy also has the right to process and disclose data in the register for justified purposes in accordance with the EU General Data Protection Regulation (2016/679) and the Data Protection Act (1050/2018).

The full privacy policy under the General Data Protection Regulation can be found on the privacy policy page. The customer may prohibit the use and processing of their data for marketing purposes and check the data concerning them by contacting Toolcat Oy’s customer service. Contacts must be made in writing and delivered signed to: Toolcat Oy, Kalustetie 1, 01720 Vantaa.

After a purchase, the customer may be sent an invitation to review products. Responding to the review invitation is voluntary. The invitation covers only products the customer has already purchased. The customer’s contact details are not shown publicly with the review. Toolcat Oy uses the data collected through reviews to develop the customer experience, the product range and services.

Logged-in customers may be sent emails about incomplete orders in which products have been left in the cart. The cart and ordering always require logging in to a customer account.

3. Price list

The webshop serves business customers only, so all prices are shown exclusive of value added tax (VAT 0%). Prices do not include transport costs unless otherwise stated.

Value added tax is added to the order at the rate in force at the time of ordering, and the tax portion is itemised on the order confirmation and the invoice.

If the price list contains obvious pricing errors, the product is not sold at a clearly lower price if the customer can be assumed to have understood that the error exists.

Business customers may request activation of their own reseller prices in Toolcat Oy’s webshop by contacting Toolcat Oy’s customer service by email at asiakaspalvelu@toolcat.fi or by contacting the person responsible for maintaining the webshop directly.

We always check prices at the time the order is processed. If a price falls, we correct the prices in the customer’s open order. On the other hand, if the price of a product rises before the order is dispatched, we deliver the products at the original price.

Toolcat Oy reserves the right to restrict the sale of products in exceptionally large quantities.

4. Delivery

Toolcat Oy offers transport options for small goods and pallet goods. You can read more about the delivery methods and the services they include on our website’s delivery methods page. The cart on the www.toolcat.fi website takes transport offers into account automatically. Where necessary, the products in a single order may be delivered in several shipments.

Toolcat Oy is not obliged to reserve the other products in the same order for the customer if the availability of one product is poor or its delivery is delayed for reasons beyond Toolcat Oy’s control. The customer may alternatively accept either backorder delivery of the delayed product or cancellation of the order.

5. Payment

Current information on payment methods and payment terms can be found on Toolcat Oy’s pages under payment methods.

Business customers can apply for an invoice account through our business sales. For more information, email myynti@toolcat.fi or ask our sales staff.

6. Returns

Toolcat Oy’s webshop is intended only for business customers, so the 14-day right of withdrawal for distance selling under the Consumer Protection Act (kuluttajansuojalaki) does not apply to these sales. A business customer has no statutory right to return a faultless product.

Any returns are always agreed case by case and in advance with Toolcat Oy’s customer service. Contact asiakaspalvelu@toolcat.fi before returning a product. Returns are not processed without a return authorisation agreed in advance.

When a return is agreed, the product must be unopened, unused and in its original packaging in resaleable condition. Products being returned must be packed carefully. The buyer is responsible for the return transport costs and for any reduction in the value of the product. Toolcat Oy reserves the right to charge a reasonable handling fee for agreed returns.

For defective products, the terms of sections 7 (Warranty, support and liability for defects) and 8 (Complaints) below apply. Please keep all documents relating to the return carefully until you have received notice from Toolcat Oy that the return has been received.

7. Warranty, support and liability for defects

The warranty is determined by the warranty terms defined by the manufacturer. You are obliged to read the warranty terms supplied with the product before taking the product into use. The warranty terms can be found in any instructions for use, on a separate warranty form or at a web address indicated by the manufacturer. As a rule, the warranty covers only manufacturing and material defects in the product. The warranty period is stated in the product details.

Warranty repairs are always carried out in accordance with the manufacturer’s or importer’s warranty terms.

In warranty matters, Toolcat Oy’s customer service is contacted directly; its contact details can be found on the contact page of Toolcat Oy’s website.

The estimated service time varies by product. Some of Toolcat Oy’s products have to be sent abroad for service because there is no authorised or appropriate service in Finland. In such cases we aim to give as accurate an estimated service time as possible.

The costs of an unwarranted service visit are charged to the customer in full if the product has clearly been sent for warranty service without cause. Toolcat Oy is not liable for damage caused by the buyer’s actions. The costs charged for unwarranted service are any costs of the service company and the costs incurred by Toolcat Oy.

Our service department keeps products for three (3) months after the customer has been notified that the service/work is complete. After that the product is recycled. (Act on the Right of a Trader to Sell Uncollected Items.)

Liability for digital recordings is always determined according to the passing of risk. Toolcat Oy is not liable for data or software stored on digital media while the risk lies with the customer. Backing up is the buyer’s responsibility. Backups must always be made before the service process. Recovering files from a damaged device is a chargeable additional service, carried out by an external company and invoiced according to their price list.

Toolcat Oy is responsible for the statutory liability for defects in products when the product’s warranty has expired or no warranty has been granted. For more information, email asiakaspalvelu@toolcat.fi.

8. Complaints

The customer is obliged to present proof of purchase, a receipt or other evidence of the place, method and time of purchase when returning a product or making a complaint about a defect in the goods. Toolcat Oy reserves the right to charge the buyer for the costs of searching for the receipt.

Complaints are handled in writing only. A free-form complaint can be submitted either by email to asiakaspalvelu@toolcat.fi or by letter to the Vantaa office.

Complaints staff report directly to the management team. Where necessary, staff consult management when handling a complaint sent by the customer. Warehouse staff receive complaints but do not process them.

Dispute resolution and jurisdiction

Disputes that may arise from these terms and conditions and from the sales contract between Toolcat Oy and the business customer are primarily resolved by negotiation between the parties.

If no settlement is reached, the dispute is resolved in the district court of Toolcat Oy’s domicile in accordance with Finnish law. As the webshop serves business customers only, the Consumer Disputes Board has no jurisdiction over these sales.

9. Additional terms for business customers

Toolcat Oy is not liable for any direct or indirect loss, damage or loss of income caused by the product and/or service.

Toolcat Oy’s liability for compensation is always limited to the content of these terms and conditions. Liability for product defects is limited to a possible refund of the purchase price less the benefit of use.

The warranty period of a product purchased for business use is determined by the manufacturer’s warranty terms, and the end of the warranty period ends Toolcat Oy’s liability. Physically opening the product in order to modify it ends the warranty and the seller’s liability unless the manufacturer has stated otherwise.

For products that are resold, the warranty period is determined by the time of resale.

Data and software stored on digital media are the end user’s responsibility. The customer is responsible for maintaining backups. Recovering files after the product has been damaged is a chargeable additional service.

Our service department keeps products for three (3) months after the customer has been notified that the service/work is complete. After that the product is recycled.

Toolcat Oy is not obliged to perform the contract if it encounters force majeure that it cannot reasonably overcome. In the event of force majeure, Toolcat Oy is not obliged to compensate the customer for damage or costs incurred by the customer, and is entitled to terminate the contract.

By placing an order and/or a request for a quote, the customer indisputably accepts Toolcat Oy’s terms and conditions. Any purchasing terms used by the customer are not followed where they conflict with Toolcat Oy’s terms and conditions.
